The Legal Counsel provides legal support in relation to the group’s corporate governance, employee equity participation plans, inter-company agreements, entity (re-)structuring, and acts as a business partner to internal stakeholders across IMC entities and departments. In addition, the role includes exposure to other legal work within the Holding Legal Team, including support on strategic investments, regulatory and other general legal matters.               

The Legal Counsel is a senior-level attorney, with 10+ years’ experience, seeking to further develop as a broad, business-oriented in-house legal counsel in a group holding company context. The role reports to a senior delegate of the Global General Counsel.

Core Responsibilities

Your responsibilities include, but are not limited to:

  • Corporate Governance: Advise on corporate governance matters relating to IMC's top holding entity and across the IMC group.
  • Inter-Company Agreements: Review, draft, and revise inter-company arrangements and agreements in support of the group's corporate structure at both the group and regional levels.
  • Equity Plans: Advise on equity plans, including company and participant rights, obligations, restrictive covenants, and tax implications; assist in drafting and executing required documentation.
  • Entity Structuring: Advise on corporate entity (re-)structuring and manage the formation, transfer, and dissolution of entities as required.
  • Stakeholder Collaboration: Work closely with internal stakeholders — including Global Management, Finance, Tax, and Business Strategy — as a hands-on legal business partner.

As part of the broader Holding Legal Team, the role also includes:

  • External Counsel Management: Support the management of external counsel and coordinate legal workstreams on larger, complex matters.
  • Commercial Contracts: Draft, review, and negotiate commercial and other corporate contracts.
  • Legal & Regulatory Monitoring: Track relevant legal and regulatory developments and contribute to the team's legal knowledge resources.
  • Growth & Development: Benefit from opportunities for learning, development, and career growth across a broad range of legal topics, including strategic investments.

Your Skills and Experience: 

  • A minimum of 10 years of relevant experience, gained in a combination of a top-tier law firm and an in-house environment
  • Demonstrable experience in corporate governance, general corporate law, and M&A
  • Familiarity with financial regulatory environments is a strong plus
  • An understanding of (international) tax considerations in a corporate or M&A context is a strong plus
  • Pragmatic, proactive and business-oriented mindset with a strong sense of ownership
  • Strong and confident communicator
  • Collaborative and service-minded team player, comfortable working with senior stakeholders
  • Ability to act independently and perform successfully in a fast-paced and at times high-pressure environment
  • Excellent command of Dutch and English.
